prerequisites: Corporations I
The class will explore how corporate mergers, acquisitions, sales, and business combinations are conceived, structured, negotiated, and documented. We will use documents from recent transactions to examine the principal issues that arise from inception to closing of a deal. The course will focus on the competing interests of buyers and sellers and how counsel for each side addresses those interests.
