Corporations I, Spring 2008 (F. Gev*rtz)

This course will cover: a basic overview of the different forms for conducting business, forming corporations; liabilities of shareholders; authority, responsibilities, and compensation of managers, including the duty of care and duty of loyalty; voting and control arrangements; introduction to corporate finance.

By far the worst class I have ever had in my life. If you get stuck taking him (like I did because I needed the class and he was the only one teaching it) then I recommend skipping all of his classes and simply outlining his hornbook.

Wow. I quite liked Gev*trz for corps 1. But then I generally appreciate a professor who cuts through the crap and gives you the theory that explains the doctrine you're likely to encounter in practice, rather than expecting you to cull so-called "black-letter law" from a bunch of incoherent cases. (I know, thousands disagree.)
